01. Company Information
LINKBIT LTD is a company registered in Northern Ireland, United Kingdom (Company No. NI728345). We provide managed digital infrastructure services including website architecture, Microsoft 365 workspace management, and cloud voice infrastructure. All official correspondence should be directed to support@linkbit.co.uk.
02. Scope of Services
LINKBIT provides the following managed services:

Website Design & Architecture: Custom-built websites including standard and premium build tiers.

Voice Infrastructure: Managed Microsoft Teams Phone systems and PSTN connectivity.

Microsoft 365 Workspace: Business email, cloud storage, collaboration tools, and ongoing workspace management.

Managed Support: Proactive maintenance, security management, and technical assistance.
03. Managed Infrastructure Model
LINKBIT operates a fully managed infrastructure model. To maintain system integrity, security, and performance, LINKBIT retains primary administrative control over all systems it deploys.

Clients are granted full operational access to their day-to-day environment, including content management, blog publishing, event management, and booking systems.

The underlying website architecture — including all custom code, design configurations, and structural build — remains the intellectual property of LINKBIT LTD. This does not affect the client's ownership of their domain name, Microsoft 365 environment, or website content.
04. Service Agreements & Deployment
Formal engagement begins upon written confirmation and receipt of the agreed deposit. Each project is governed by a specific service outline confirmed at the point of engagement. Work will not commence until both conditions are met.
05. Payment & Financial Terms
All services are billed in GBP (£). LINKBIT LTD is not currently VAT registered; no VAT will be applied to invoices. Clients are responsible for ensuring subscription payments remain current. Lapsed payments may result in service suspension with prior written notice.
06. Contract Terms & Renewals
Website architecture contracts are available on 1, 2, or 3-year terms. Voice Infrastructure contracts are governed by the selected calling plan tier.
LINKBIT will provide written notice of an upcoming renewal no less than 30 days prior to the renewal date. This notice will confirm the renewal term and any changes to pricing or service scope. Renewal requires the client's written confirmation. Failure to respond within the notice period will not be treated as acceptance of the new term.
07. Termination
Either party may terminate this agreement by providing 60 days written notice to the other party. Notice must be submitted in writing to the registered contact address of each party. During the notice period, all services will continue to be delivered and invoiced as normal.

Upon termination, LINKBIT will provide the client with a full transfer of their domain name, their complete Microsoft 365 environment, and a structured export of all client content held within the website. The website build itself remains the property of LINKBIT LTD and will not be transferred unless a separate written agreement has been executed.
08. Data Retention
LINKBIT retains client personal data for a maximum of 90 days following the contract termination date, in accordance with UK GDPR. Clients may request earlier deletion in writing at any point during this period.

LINKBIT retains an internal design backup of each website prior to go-live. This backup contains no personal data — only structural design elements and configurations — and is held by LINKBIT indefinitely as part of its internal records.
09. Deposits, Cancellations & Stage Refunds
Projects commence upon receipt of the agreed deposit. If a client withdraws from a project prior to completion, the following non-refundable schedule applies:

Up to 25% completion: 30% of the project fee is non-refundable.

26% to 50% completion: 50% of the project fee is non-refundable.

51% to 75% completion: 70% of the project fee is non-refundable.

76% and above: 100% of the project fee is non-refundable.
This schedule applies to project cancellations only and is entirely separate from the post-launch satisfaction provision below.
10. Post-Launch Satisfaction Provision
LINKBIT stands behind the quality of every project it delivers. Where a client is dissatisfied with a specific deliverable following go-live, LINKBIT will review the concern and, at its discretion, apply a goodwill refund of up to 20% of the fee paid for that specific service.

Where concerns span multiple deliverables, LINKBIT retains sole discretion to determine an appropriate total refund, up to a maximum of 20% of the total project fee.

This provision applies within 45 days of the project go-live date. It applies to initial project delivery fees only and does not extend to ongoing managed service subscriptions, support fees, or Microsoft 365 and Voice Infrastructure charges.
11. Voice Infrastructure & PSTN
LINKBIT is not liable for regional PSTN outages or failures caused by third-party hardware or network providers. Clients must provide accurate physical location data to enable correct emergency call routing (999/112). LINKBIT accepts no liability for emergency routing failures resulting from inaccurate or incomplete location data provided by the client.
12. Managed Support & Response Times
Infrastructure mAll active LINKBIT clients have access to our Assistance service. Support requests are assessed within 48 business hours of submission. Critical failures affecting live operations are prioritised for immediate remediation. The 99.999% uptime commitment applies to Microsoft Teams Phone Infrastructure only.ay not be used for bulk unsolicited communication (Spam) or unlawful content. Breach results in immediate termination without refund.
13. Intellectual Property
All website architecture, custom code, design configurations, and structural builds developed by LINKBIT remain the intellectual property of LINKBIT LTD. Clients are granted an operational licence to use the delivered system for the duration of their contract. This licence does not constitute ownership of the build and is not transferable.

Client-owned assets — including brand materials, photography, written content, and data — remain the property of the client at all times.
14. Data Protection
LINKBIT complies fully with UK GDPR and the Data Protection Act 2018. We maintain administrative access to Microsoft 365 environments and Voice Infrastructure systems solely for the purpose of security management, maintenance, and service delivery. Client data is never shared with third parties except where required by law or necessary for service delivery.
15. Acceptable Use
LINKBIT infrastructure must not be used for bulk unsolicited communications, unlawful content, or any activity that violates UK law. Breach of this clause may result in immediate service termination without refund.
16. Dispute Resolution
In the event of a dispute, both parties agree to enter a 30-day good faith negotiation period before initiating formal legal proceedings. If the dispute remains unresolved after 30 days, either party may refer the matter to mediation through a recognised UK mediation body. The courts of Northern Ireland retain exclusive jurisdiction as the final recourse.
17. Liability
LINKBIT is not liable for indirect losses, consequential damages, or failures caused by third-party platforms. Total liability in any claim is limited to the total amount paid by the client to LINKBIT in the 12 months immediately preceding the claim.
18. Governing Law
These Terms and Conditions are governed by the laws of Northern Ireland and subject to the exclusive jurisdiction of the courts of Northern Ireland.
19. Acceptance
By engaging LINKBIT's services, you confirm that you have read, understood, and agreed to these Terms and Conditions in full.
